01. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LocalAlpha ("LocalAlpha," "we," "us," or "our"), regarding your access to and use of the website at https://localalpha.io and associated applications, APIs, and background monitoring services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

03. User Accounts & Security

To access certain features of the Platform (such as saving custom watchlists and configuring notification webhooks), you must register for an account using direct credentials or Google OAuth authentication.

• You agree to provide accurate, current, and complete registration information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You agree to notify us immediately at support@localalpha.io of any unauthorized use or security breach.

04. Founding Beta Program & Lifetime Tier Terms

During our initial launch period, LocalAlpha offers a "Founding Beta Member" promotion granting lifetime access to Pro monitoring features ($0/mo forever) to the first 100 registered user accounts.

Founding Beta accounts receive lifetime access to core Pro capabilities, provided the user maintains an active, non-abusive account and complies with these Terms. We reserve the right to modify future feature sets or tier limits for new registrations outside the founding cohort.

05. Financial Data Accuracy & SEC Filing Disclaimers

LocalAlpha aggregates publicly available market data from third-party sources (including Yahoo Finance, Financial Modeling Prep, and SEC EDGAR). While we strive for accuracy and timely updates:

• Third-party data may be delayed, incomplete, or contain accounting restatements.
• Background scanning cycles (such as 15-minute polling) depend on network connectivity, external API rate limits, and SEC EDGAR RSS availability.
• Autonomous AI audits synthesize unstructured textual filings and may omit nuances; users must verify critical disclosures directly in original 10-K and 10-Q documents.

06. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOCALALPHA, ITS FOUNDERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, TRADING LOSSES, CAPITAL LOSS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS PLATFORM.

07. Account Termination

You may terminate your account at any time by contacting support@localalpha.io. We reserve the right to suspend or terminate accounts that engage in automated scraping abuse, reverse engineering, rate limit evasion, or violation of these Terms.
